Acceptable Use Policy (AUP)

Prudentia Sciences Acceptable Use Policy (AUP): For subscribers who use the Prudentia Sciences Platform.

This Acceptable Use Policy (“AUP”) sets forth the restrictions regarding use of the Prudentia Sciences, Inc. (“Prudentia”) platform (the “Service(s)”) and any use of the Service is subject to this AUP. Use of the Service is governed by a separate agreement entered into between the Customer and Prudentia (the “Agreement”);. “Users” mean individuals authorized by Customer to use the Services. Capitalized terms in this AUP have the meaning stated in the Agreement unless otherwise defined herein. This AUP is incorporated into the Agreement by reference, and thus a violation of this AUP is considered a violation of the Agreement.


General Use Restrictions

A. Users shall access and use the Services solely for the specific business transaction(s) or purpose(s) for which they have been authorized (the “Permitted Use”), and for no other use or purpose. Users shall not access any data room, workspace, or project environment that they are not expressly authorized to access, nor use or disclose any information obtained through the Services for any purpose other than the Permitted Use.

B. Users must not:

  1. Download, copy, print, photograph, screen-capture, or otherwise reproduce any content accessed through the Services except as expressly permitted by the Customer or applicable administrator, or as authorized under the Agreement.
  2. Redistribute, forward, or otherwise disclose any content obtained through the Services to any person who is not an authorized User of the applicable data room or project.
  3. Remove any watermarks, confidentiality, privilege, or other markings or tools intended to restrict distribution of the content in the Services.
  4. Use any automated means, including bots, crawlers, scrapers, or scripts, to access, monitor, copy, or extract data from the Services, except through APIs expressly made available and authorized by Prudentia under the Agreement, if any.

C. Users must not use the Services in any way that is unlawful or facilitates unlawful activities. This includes:

  1. Engaging in illegal activities, such as terrorism, cybersecurity crime;
  2. Violating copyright, trademark or other intellectual property laws;
  3. Violating any person’s privacy rights, including by attempting to collect, infer, predict, store, process, or disclose protected or personally identifiable information, such as passwords, account information, credit card numbers, addresses, location, or other contact information without prior consent or another lawful basis for doing so;
  4. Engaging in the unauthorized practice of any regulated profession, including the financial, legal, accounting, or medical/health professions; or
  5. Accessing, or authorizing anyone to access, the Service from any country that is subject to applicable government sanctions, embargoes, or related restrictions.
  6. Threatening, offensive, illegal or similarly objectionable purposes, including but not limited to, promoting hate, violence, or harm to others, or harm to Prudentia’s reputation.

D. Users must not use the Services in any way that could harm them or others, or impair another person’s authorized use of the Services. This includes:

  1. Attempting to gain unauthorized access to the Services, acting to deny others’ authorized access to the Services, or authorizing any third party to inappropriately access or use the Services;
  2. Using the Services to try to gain unauthorized access to any other service, data, account, system, or network by any means; and
  3. Using content or technology that harms, interferes with, or limits Prudentia’s or any other user’s normal operation of the Services, including monitoring traffic or data.

E. Users must not use the Services in any way that is intended to harm others (other than normal competition with third parties). This includes:

  1. Using the Services to store, generate, or transmit viruses, malware, malicious code, trojan horses, or anything designed to impair the proper operation of any website or computer system; and
  2. Using the Services to harm, threaten, stalk, defame, defraud, deceive, or harass anyone for any reason.

F. Users must not use the Services to violate Prudentia’s or others’ intellectual property rights or otherwise compete with Prudentia. This includes:

  1. Accessing or using any intellectual property in or related to the Services, except as expressly permitted under the Agreement;
  2. Copying the Services, or any part, feature, function, or user interface thereof, except as expressly allowed for such Services under the Agreement; and
  3. Using the Services to assist in the creation of similar or competitive products or services to be used apart from the Service.

G. Users acknowledge that the Services may be used to store and share highly sensitive and regulated information, including clinical trial data, pharmaceutical intellectual property, regulatory filings, and trade secrets. Users shall handle all such information in accordance with applicable laws and regulations, including applicable privacy, data protection, and trade secret laws, and shall implement appropriate safeguards to prevent unauthorized access or disclosure.

H. Users are responsible for maintaining the confidentiality of their login credentials, including usernames, passwords, and any multi-factor authentication tokens. Users shall: (a) immediately notify Prudentia at security@prudentiasciences.com upon becoming aware of any unauthorized use of their account or any other breach of security; (b) not permit any third party to use their account credentials; and (c) not attempt to access the Services using another User’s credentials. Prudentia shall not be liable for any loss or damage arising from a User’s failure to safeguard account credentials.

I. Users shall use the Services in compliance with all applicable laws, regulations, and industry standards, including but not limited to applicable data protection and privacy laws (such as the California Consumer Privacy Act, the Health Insurance Portability and Accountability Act, and the General Data Protection Regulation), export control and sanctions laws, and any laws or regulations governing the handling of health-related data, clinical trial information, or regulated pharmaceutical data. Users must not upload, store, or process through the Services any data in a manner that would cause Prudentia to violate applicable law.

J. Users must not use the Services to engage in cryptocurrency mining or similar activities, except as expressly authorized under the Agreement.


Violations

Customer will report any violations of this AUP, or any issues with any of the Services, including the Prudentia proprietary artificial intelligence features (“AI Outputs”), to Prudentia’s security at security@prudentiasciences.com. In the event of a violation, Prudentia may, in its sole discretion, and without liability, immediately suspend or terminate a User’s or Customer’s access to the Services and pursue any other remedies available under the Agreement or applicable law, including cooperation with law enforcement authorities where required or appropriate.


General Terms

Notwithstanding anything to the contrary in the Agreement, in the event of any conflict between the Agreement and this AUP, this AUP shall govern. This AUP may be updated by Prudentia from time to time upon reasonable notice (which may be provided through the Service or by posting an updated version of this AUP on the Website). Customer is responsible for ensuring its Users’ compliance with this AUP. Neither Customer not its Users will encourage, permit, or assist any third party in performing any activities prohibited by this AUP.
